Underlying Securities definition

Underlying Securities means any securities issuable on conversion, exchange or exercise of compensation securities.
Underlying Securities means the (i) the Conversion Shares, and (ii) any common stock of the Company issued or issuable with respect to the Conversion Shares, including, without limitation, (1) as a result of any stock split, stock dividend, recapitalization, exchange or similar event or otherwise and (2) shares of capital stock of the Company into which the shares of Common Stock are converted or exchanged without regard to any limitations on conversion of the Convertible Debentures.
Underlying Securities means, with respect to any class or series of Convertible Securities, the class or series of securities into which such class or series of Convertible Securities are directly or indirectly convertible, or for which such Convertible Securities are directly or indirectly exchangeable, or that such Convertible Securities evidence the right to purchase or otherwise receive, directly or indirectly.

Examples of Underlying Securities in a sentence

  • To the extent applicable, the Company shall promptly secure the listing or designation for quotation (as the case may be) of all of the Underlying Securities (as defined below) on the Principal Market, subject to official notice of issuance, and shall use reasonable efforts to maintain such listing or designation for quotation (as the case may be) of all Underlying Securities from time to time issuable under the terms of the Transaction Documents on such Principal Market for the Reporting Period.

  • This Agreement shall be binding upon and inure to the benefit of the parties and their respective successors and assigns, including any purchasers of any of the Debenture or Securities (but excluding any purchasers of Underlying Securities, unless pursuant to a written assignment by such Buyer).


More Definitions of Underlying Securities

Underlying Securities means any Common Stock or Other Securities issued or issuable upon exercise of Warrants.

Underlying Securities. The $75,000,000 aggregate principal amount of 7.75% Notes due December 1, 2030 issued by the Underlying Securities Issuer, as described in Schedule I hereto.
Underlying Securities means (i) $30,590,000 aggregate principal amount of 7.45% Debentures due February 1, 2097 issued by the Underlying Securities Issuer (the "7.45% Underlying Securities") and (ii) $29,504,000 aggregate principal amount of 7.40% Debentures due August 1, 2097 issued by the Underlying Securities Issuer (the "7.40% Underlying Securities") each as set forth in Schedule I attached hereto (subject to Section 3(d) hereof).
