Examples of Underlying Securities in a sentence
To the extent applicable, the Company shall promptly secure the listing or designation for quotation (as the case may be) of all of the Underlying Securities (as defined below) on the Trading Market, subject to official notice of issuance, and shall use reasonable efforts to maintain such listing or designation for quotation (as the case may be) of all Underlying Securities from time to time issuable under the terms of the Transaction Documents on such Trading Market for the Reporting Period.
After the conversion contemplated above, Debenture Certificates will represent only the right of the registered holder thereof to receive the Underlying Securities to be issued upon conversion.
Except as provided below, no adjustment in the number of the Underlying Securities to be issued upon conversion will be made for dividends or distributions on Common Shares issuable upon conversion, the record date for the payment of which precedes the date upon which the holder becomes a holder of Common Shares in accordance with Article 6, or for interest accrued on Initial Debentures surrendered.
No fractional Underlying Securities will be issued, and holders will receive a cash payment in satisfaction of any fractional interest based on the Current Market Price as of the date of conversion, provided, however, the Corporation shall not be required to make any payment of less than $5.00.
This Agreement shall be binding upon and inure to the benefit of the parties and their respective successors and assigns, including any purchasers of any of the Convertible Note (but excluding any purchasers of Underlying Securities, unless pursuant to a written assignment by the Investor).
