Uncontrollable Event definition

Uncontrollable Event means an event or circumstance that is beyond the reasonable control and without the fault of the party impacted. An Uncontrollable Event may include, but is not limited to, an act of God; civil disorder; terrorist acts or threats; acts of governing authorities; fires, floods, and other natural disasters; strikes or other labor difficulties; public health issues or disease; facility closings or operation disruptions due to severe weather, a failure or disruption of utilities or critical equipment, an active shooter, or other emergencies; or other events, whether similar or dissimilar to the foregoing. For clarity, an Uncontrollable Event will include the COVID-19 pandemic and related circumstances, whether or not foreseeable (including, without limitation, ongoing or new quarantine orders; employee travel or other restrictions; University campus closure or policy changes; or federal, state, or local governmental orders or advisories). If the Event is cancelled due to an Uncontrollable Event, neither party shall have any liability to the other, provided that any deposits or amounts paid by one party to the other shall be promptly refunded and Licensee shall reimburse University for all reasonable expenses incurred to the time of cancellation (including any expenses for which University then is and will remain unavoidably committed).
Uncontrollable Event means (including without limitation) any fire, flood, earthquake, elements of nature or acts of God, riots, civil disorders, government controls / restrictions / prohibitions / failures, rebellions or revolutions in any country, power outages and / or load shedding, industrial disputes, strikes or work stoppages of any kind or any other similar or dissimilar cause, or any other event or occurrence that is outside of our control that may result in a delay or a failure to comply with these Terms & Conditions;
Uncontrollable Event means (including without limitation) any fire, flood, earthquake, elements of nature or acts of God, riots, civil disorders, rebellions or revolutions in any country or any other cause beyond the reasonable control of UltraNet SA including the termination or suspension of a service or product provided by a Network Operator and/or third party suppliers, that may result in a delay or a failure to provide any product or service; and

  • A20.1 If either you or we are affected (“the Affected Person”) by an Uncontrollable Event, the Affected Person will not be in default under the terms of this Agreement if the default is caused by that Uncontrollable Event.

Uncontrollable Event means an event or cause beyond the reasonable control of a Party including, without limitation:
Uncontrollable Event means an event or condition beyond the control of any of the Parties, including, but not limited to an act of God, fire, storm, flood, earthquake, hurricane, governmental regulation or direction, acts of the public enemy, war, rebellion, insurrection, riot, invasion, strike or lockout.
Uncontrollable Event means fire, flood, earthquake, acts of nature or of God, riots, civil disorder, rebellions or revolutions in any country or any other cause beyond the control of Smartcall including the disruption, suspension or termination of Services provided by a third party to Smartcall that may result in the Smartcall Website not being available;
Uncontrollable Event means any of the following events causes a delay in the Completion of the Project: (i) acts of God (not including any reasonably anticipated weather events that would be scheduled for pursuant to good development and construction scheduling practices), (ii) war, riot and other civil unrest, (iii) government restrictions arising after the date of this Agreement (e.g., general building, zoning or utility moratorium that makes impractical or impossible the development of the Property), (iv) fire or unavoidable physical casualty to the Property for which the Company has adequate insurance coverage to repair all damage (less reasonable deductible amounts), (v) failure of any governmental authority having jurisdiction over the Property to issue any required license or permit within the time period for the issuance thereof prescribed by applicable law, statute or ordinance, despite timely satisfaction by the Company of all conditions precedent to the issuance of such license or permit, and (vi) any other event or occurrence not within the reasonable control of the Xxxxxxx Xxxxxx Member. Uncontrollable Events shall not include (a) failure of an architect, contractor or subcontractor to perform as required under any applicable contract, (b) any design defect in the plans and specifications for the development of the Property, (c) the Property not being redeveloped in accordance with any applicable laws, regulations or permits, (d) the bankruptcy, dissolution or other similar event occurring to any architect, contractor or subcontractor; (e) the loss of any key personnel of Xxxxxxx Xxxxxx Member (or Affiliates of Xxxxxxx Xxxxxx Member); (f) any market increases in costs of supplies; (g) failure of any governmental authority having jurisdiction over the Property to issue any required license or permit where the Company has failed to timely satisfy all conditions precedent to the issuance of such license or permit; or (h) any act or omission constituting a Removal Event (after taking into account any Uncontrollable Events which extend the time prior to which a Removal Event occurs if such Removal Event arose pursuant to Section 4.4(f) of this Agreement).
