Unanimous Decision definition

Unanimous Decision means a combative sports contest ending with one Contestant scored as the winner by all judge(s). A Unanimous Decision may be officially reported using the abbreviation “UD.”

Unanimous Decision. A decision where all judges declare the same fighter as the winner;

Unanimous Decision shall have the meaning set forth in Section 3.4.

• The Terms and Conditions applicable to the French law Privileged Notes permit in certain cases defined majorities to bind all French law Noteholders including French law Noteholders who did not attend and vote at the relevant General Meeting or who did not vote through the relevant Written Unanimous Decision and French law Noteholders who voted in a manner contrary to the majority.

Unanimous Decision means any of the following matters requiring the unanimous approval of both KHK and DICERNA: [***].

Unanimous Decision means, in respect of Modifications, Consents and Waivers of and under P1 Collateral Documents, (a) reducing the percentage or other voting thresholds specified in respect of matters requiring approval of the Senior Secured Parties; (b) changing or otherwise adversely impacting the priority of the Liens over the Collateral (except as allowed under the P1 Financing Documents); (c) changing the provisions of the P1 Financing Documents providing for the pari passu ranking of the Senior Secured Debt; (d) amending or waiving Article III (The P1 Accounts) of the P1 Accounts Agreement; (e) amending this definition of Unanimous Decision; (f) releasing all or any material portion of the Collateral from the Lien of any of the Senior Security Documents (other than (x) upon the sale, conveyance, lease, transfer or other disposal of assets that do not constitute all or substantially all of the assets of the Borrower or (y) the termination, assignment, or other disposition of Material Project Documents in accordance with the P1 Financing Documents or otherwise upon Majority Senior Lender approval); and (g) modifying any of the following provisions of the Collateral and Intercreditor Agreement: Section 9.7 (Application of Collateral Proceeds to the Senior Secured Obligations Prior to an Enforcement Action), Section 9.8 (Application of Collateral Proceeds to the Senior Secured Obligations Following an Enforcement Action), and Article 10 (Application of Replacement Debt to the Senior Secured Obligations).

Unanimous Decision means any one or more of the following:

Unanimous Decision means any of the following decisions requiring the unanimous approval of all members of the JSC, the JDC and/or the JMC, as the case may be: (a) any determination as to whether a milestone has been achieved under Section 6.3.1 of this Agreement for which a milestone payment is payable; (b) any decision that relates to the Co-Development or Co-Promotion of a Co-Developed Product (including without limitation any decision with respect to the manufacture of such Co-Developed Product within the Co-Development Territory) in the Co-Development Territory; (c) any decision that results, or would reasonably be expected to result, in an increase in the amount of Co-Development Costs payable by a Party pursuant to Section 5.1 of more than [***] [***] percent ([***]%) in any Calendar Year as compared to the amount of Co-Development Costs forecasted in the then current Co-Development Plan for that Calendar Year for any reason (including, without limitation, as a result of a change in the number of patients, number of sites, duration of the study or the number of studies); (d) the initial allocation of Detailing responsibilities between the Parties with respect to a Co-Developed Product; (e) any disputed matter which, in accordance with the terms of this Agreement, is referred to the JSC by the JDC, the JFC or the JMC; and (f) with respect to each Licensed Product that is a Co-Developed Product, the determination of the indication(s) for which such Co-Developed Product shall be used in the Co-Development Territory.

Unanimous Decision as used in the Agreement, means any decision with respect to the following matters:
