The Placement Shares shall have either been (i) approved for listing, subject to notice of issuance, on the NYSE and the TSX, or (ii) the Company shall have filed an application for listing of the Placement Shares on the NYSE and the TSX at or prior to the issuance of the Placement Notice.
The issued and outstanding Shares are listed and posted for trading on the TSX and the NYSE and the Placement Shares will be listed and posted for trading on the TSX and the NYSE upon the Company complying with the usual conditions imposed by the TSX and the NYSE, as applicable, with respect thereto.

TSX Trust Company has been duly appointed as transfer agent and registrar in respect of the Shares in Canada and Equiniti Trust Company has been duly appointed as the co-transfer agent and co-registrar in respect of the Shares in the United States.
