Transferred Services means, collectively, products and services provided by Sellers and their Subsidiaries to Transferred Customers through the Transferred Infrastructure; provided, however, that the term “Transferred Services” shall exclude (a) any products or services provided by Sellers or their Subsidiaries primarily through the use of equipment or facilities other than the Transferred Infrastructure and (b) any products and services provided to any customers of Sellers or their Subsidiaries that are not Transferred Customers, whether within or outside of the Territory, and (c) the specific products and services identified on Section 5.1(b) of the Seller Disclosure Letter.

Transferred Services means Microsoft Seat-Based Subscriptions (and associated Seat-Counts) or Azure service subscriptions that were purchased for the Customer by another partner and that, with the Customer’s authorisation, have been transferred to the Supplier in the Microsoft Partner Center on or after the date of this Statement of Supply (so that, following the transfer, the Supplier is the Primary Administrator for those Subscriptions).

Notwithstanding anything to the contrary in this Agreement, Purchaser acknowledges and agrees that no volume, minimum purchase or similar commitments under Shared Customer Contracts or any rights relating thereto will be transferred to the Acquired Subsidiaries as part of the Transferred Customer Contracts or otherwise in whole or in part, except to the extent solely related to the Transferred Services.
For the avoidance of doubt, the Contract constituting the separated portion of any Shared Customer Contract that provides for the delivery of Transferred Services shall constitute a “Transferred Customer Contract” under this Agreement, and in no event shall those portions of any Shared Customer Contract providing for the delivery of goods and services that do not constitute Transferred Services be considered a Transferred Customer Contract.
To the extent that Altisource continues to provide any Service on such Portfolios, it shall notify Ocwen if Altisource used materials created in connection with the Transferred Services in connection with the remaining Services.
Customer may assume certain of the Services from INSpire upon terms and conditions which are mutually-agreeable to the Parties and, with respect to such transferred services, the Parties have agreed that INSpire's costs associated with such services (the "Transferred Services") shall be borne by Customer and then offset against the Services Fee as set forth in Section 1.4(a).
Purchaser further acknowledges that the RDOF Obligations include the obligation to build out portions of states located outside of the service area of the applicable Acquired Subsidiaries providing Transferred Services within such states.

Transferred Services has the meaning set forth in the recitals of this Agreement.

Unlimited Plan provides unlimited local, national, and fixed line calls to mobiles up to 15 minutes each at no additional cost as per the rate card(Eligible Calls). Excludes calls to 13 numbers, Directory Services, Voicemail and Premium Services, Line Access Fees, Calling Line Display, line ▇▇▇▇ and any other network or service fees. Data Calls, Broadband, Residential and Inbound Services (13, 1300 & 1800) are also not included.
