Transferred Business Employee definition

Transferred Business Employee has the meaning set forth in Section 6(c)(i).

• Seller agrees to provide Buyer with service commencement date and prior compensation information with respect to each potential Transferred Business Employee as soon as practicable after the date upon which this Agreement is executed.

• Purchaser’s employment of the Transferred Business Employees shall be deemed to commence at 11:59 p.m. on the Closing Date, without regard to whether the Transferred Business Employee is actively at work on the Closing Date in the case of an employee who on the Closing Date is absent from work due to a vacation, jury duty, funeral leave or personal day.

• Each Offer Employee who accepts the offer of employment pursuant to the prior sentence and commences employment with Purchaser or one of its Affiliates immediately following the Closing shall become a Transferred Business Employee as of immediately following the Closing.

• For clarity, notwithstanding any provision of this Agreement to the contrary, Purchaser and its affiliates shall not assume any Liabilities with respect to any Inactive Employee until and unless such Inactive Employee becomes a Transferred Business Employee.

• Buyer, Italian Newco and Singapore Newco, as appropriate, shall credit each Transferred Business Employee with all service with Seller and its Affiliates prior to the Closing Date and with all amounts paid to each such Transferred Business Employee prior to the Closing Date to the extent that service or pay is relevant under any Employee Benefit Plan of Buyer, Italian Newco or Singapore Newco for purposes of determining eligibility to participate, vesting and benefit accrual.

More Definitions of Transferred Business Employee

Transferred Business Employee means each Business Employee who commences or continues employment with the Company or any of the Transferred Subsidiaries immediately after the Closing Date.

Transferred Business Employee means each (a) Transferred Entity Employee, (b) Offer Employee (including Delayed Transfer Employee) and (c) Automatic Transfer Employee, in each case, who becomes employed by Purchaser or any of its Affiliates (including the Transferred Entities) pursuant to Section 6.1 of this Agreement.

Transferred Business Employee means those Business Employees, whose names are set forth on Schedule 1.1(b), to whom the Buyer, in its sole discretion, makes offers of employment, which shall (i) be contingent upon the Closing and (ii) be subject to each such Business Employee having executed and delivered to Buyer a proprietary information and invention assignment agreement and other employment-related documents required by Buyer, and who accepts such Buyer’s offer of employment.

Transferred Business Employee means and include, without limitation, each individual listed on Schedule 1.1(b) of the Seller Disclosure Letter.
