Transfer Percentage definition

Transfer Percentage means the percent of the transferor’s total payroll for a recent and representative period preceding the transfer date, which is properly assignable to the transferred busi- ness. The recent and representative period shall be the 4 most recently completed calendar quarters preceding the transfer date, except that the period may be expanded to include the partial quar- ter immediately preceding the transfer if the transfer date did not fall on a quarter ending date and there was no payroll assignable to the transferred portion of the business in the 4 most recently completed quarters.
Transfer Percentage means with respect to any Transfer of Common Shares, the percentage of the then outstanding Common Shares subject to such Transfer.
Transfer Percentage has the meaning set forth in Section 5.1.

Transfer Percentage shall have the meaning set forth in Section 7(a).
Transfer Percentage means, as of any date, with respect to any Person, (x) the aggregate number of Common Shares transferred prior to such date by such Person, other than any Common Shares transferred to Permitted Transferees of such Person, divided by (y) the Initial Ownership of Common Shares of such Person.
