Tranche C Termination Date definition

Tranche C Termination Date means the earlier of:

Tranche C Termination Date means the Forbearance Date or such earlier date on which this Agreement shall terminate in accordance with the provisions hereof or by operation of law.

• Notwithstanding anything to the contrary contained in this Agreement, from and after the Tranche C Termination Date the Borrower shall immediately repay, as a set-off by GM in accordance with Section 2.07, an amount equal to the lesser of (x) the Tranche B Obligations outstanding hereunder on such date and (y) any amounts due and payable by GM or its Affiliates to or for the credit or the account of the Borrower or any Guarantor under such agreements on such date.

• Accrued and unpaid interest on each Advance shall be payable monthly on each Payment Date and on the Tranche A Termination Date, Tranche B Termination Date, Tranche C Termination Date, or Tranche D Termination Date, as applicable, except that interest payable at the applicable Post-Default Rate shall accrue daily and shall be payable promptly upon demand.

• The Tranche C Commitment shall terminate immediately and without further action on the Tranche C Termination Date.

• From time to time prior to the Tranche C Termination Date, the Tranche C Banks severally agree, on the terms and conditions set forth in this Agreement, to make loans to the Borrower in either Australian Dollars or New Zealand Dollars pursuant to this subsection from time to time, by subscribing for Loan Notes as hereinafter set forth; provided that the Tranche C Outstandings may not at any time exceed the Tranche C Commitments (without prejudice to the prepayment provisions of Section 2.17(c)).

More Definitions of Tranche C Termination Date

Tranche C Termination Date means the Tranche C Scheduled Termination Date. “Weekly Cash Projection” shall mean a certificate in a form reasonably acceptable to GMsigned by a Financial Officer of the Borrower, certifying the amount projected by the Borrower tobe the net use of cash by the Borrower and the Guarantors for the seven-day period (including an interim projection through next Monday or Thursday, as the case may be) commencing on the date of such certificate and reflecting the calculation thereof (based on day-to-day monthly cash projections consistent with past practice). Any reference herein to the effectiveness of the amendments to each of the Master Restructuring Agreement and the Global Settlement Agreement referred to in Section 5.03 of the Original GM-Delphi Agreement, or the date on which each of the Master Restructuring Agreement and the Global Settlement Agreement shall have become effective pursuant to Section5.03 of the Original GM-Delphi Agreement, shall be deemed to be September 12, 2008.

Tranche C Termination Date means the earlier to occur of (a) the Tranche C Final Maturity Date, and (b) the occurrence and continuance of an Event of Default and the declaration of all outstanding Obligations to be due and payable pursuant to Section 7.1.

Tranche C Termination Date means 31 August 2004 and, if such day is not a Business Day, the immediately preceding Business Day.
