Tranche A-2 Commitment means, as to each Tranche A-2 Lender at any time, such Lender’s obligation to make Tranche A-2 Loans pursuant to Section 2.2., in an amount up to, but not exceeding, the amount set forth for such Lender on Schedule I as such Lender’s “Tranche A-2 Commitment”, or under such caption in the Assignment and Assumption or New Lender Joinder Agreement pursuant to which such Lender becomes a party hereto, as applicable, as such amount may be adjusted from time to time in accordance with this Agreement.

Tranche A-2 Commitment means, as to any Tranche A-2 Lender, such ▇▇▇▇▇▇’s commitment to make Tranche A-2 Loans on the Closing Date under this Agreement. The amount of each Tranche A-2 Lender’s Tranche A-2 Commitment as of the Closing Date is set forth on Annex A. Tranche A-2 Commitment means, as to each Tranche A-2 Lender, its obligation to make Tranche A-2 Loans to the Borrower pursuant to Section 2.01(b), in an aggregate principal amount at any one time outstanding not to exceed the amount set forth opposite such Tranche A-2 Lender’s name on Schedule 2.01 or in the Assignment and Assumption pursuant to which such Tranche A-2 Lender becomes a party hereto, as applicable, as such amount may be reduced from time to time in accordance with this Agreement. The aggregate amount of Tranche A-2 Commitments as of the Effective Date is £150,000,000.

• The agreements in this Section shall survive the resignation of the Administrative Agent, the replacement of any Lender, the termination of the Aggregate Tranche A-1 Commitment and/or the Aggregate Tranche A-2 Commitment and the repayment, satisfaction or discharge of all the other Obligations.

• Promptly after receipt thereof, the Administrative Agent will notify each Lender of the contents of each Aggregate Tranche A-1 Commitment reduction notice or each Aggregate Tranche A-2 Commitment reduction notice, as applicable, Borrowing Notice, Conversion/Continuation Notice and prepayment notice received by it hereunder.

• All of the Borrower’s obligations under this Article 3 shall survive termination of the Aggregate Tranche A-1 Commitment and/or the Aggregate Tranche A-2 Commitment, repayment of all other Obligations hereunder and resignation of the Administrative Agent.

• The aggregate unfunded Tranche A-2 Commitments shall be automatically and permanently reduced to zero on the Tranche A-2 Commitment Termination Date.

• The remainder of the Tranche A2 Commitment, if any, of each Tranche A2 Lender shall terminate immediately without further action on the Merger Date after giving effect to such Lender’s funding of its portion of the Tranche A2 Advances funded on the Merger Date.

More Definitions of Tranche A-2 Commitment

Tranche A-2 Commitment means the Commitment with respect to Tranche A-2 Loans in an aggregate amount from all Lenders not to exceed $40,000,000.

Tranche A-2 Commitment means, at any time, as to each Tranche A-2 Lender, the principal amount set forth next to such Lender’s name on Exhibit F hereto designated as the Tranche A-2 Commitment of such Lender or on Schedule 1 to the Assignment and Acceptance Agreement pursuant to which such Lender became a Lender hereunder in accordance with the provisions of Section 13.7 hereof, as the same may be adjusted from time to time in accordance with the terms hereof; sometimes being collectively referred to herein as “Tranche A-2 Commitments”.

Tranche A-2 Commitment means, with respect to each Tranche A-2 Lender listed on Schedule 1.1(e), the amount set forth opposite such Tranche A-2 Lender’s name as such Tranche A-2 Lender’s “Tranche A-2 Commitment.”

Tranche A-2 Commitment means, with respect to each Tranche A-2 Lender, the commitment of such Tranche A-2 Lender to make a Loan hereunder on the Effective Date, expressed as an amount representing the maximum principal amount of the Tranche A-2 Loan to be made by such Tranche A-2 Lender hereunder, as such commitment may be (a) reduced from time to time pursuant to Section 2.08 and (b) reduced or increased from time to time pursuant to assignments by or to such Tranche A-2 Lender pursuant to Section 10.04. The initial amount of each Tranche A-2 Lender’s Tranche A-2 Commitment is set forth on Schedule 2.01, or in the Assignment and Assumption pursuant to which such Lender shall have assumed its Tranche A-2 Commitment, as applicable. The initial aggregate amount of the Tranche A-2 Lenders’ Tranche A-2 Commitments on the Effective Date is $550,000,000.

Tranche A-2 Commitment means with respect to each Tranche A-2 Bank, the amount set forth on Schedule 1.1A-2 next to the name of such Tranche A-2 Bank as its commitment to make Tranche A-2 Loans on the Closing Date.
