If the Borrower exercises either of Options to Extend (Tranche A-2 Term Loan) in accordance with Section 2.13(c), the Borrower agrees to pay to the Administrative Agent for the account of each Tranche A-2 Term Loan Lender, a fee equal to fifteen hundredths of one percent (0.15%) of the amount of Tranche A-2 Term Loans held by such Tranche A-1 Term Loan Lender.
Any Extended Term Loans amended pursuant to any Term Loan Extension Request shall be designated a series (each, a “Term Loan Extension Series”) of Extended Term Loans for all purposes of this Agreement; provided that any Extended Term Loans amended from an Existing Term Loan Tranche may, to the extent provided in the applicable Extension Amendment, be designated as an increase in any previously established Term Loan Extension Series with respect to such Existing Term Loan Tranche.
No Lender shall have any obligation to agree to have any of its Term Loans of any Existing Term Loan Tranche amended into Extended Term Loans or any of its Revolving Credit Commitments of any Existing Revolver Tranche amended into Extended Revolving Credit Commitments, as applicable, pursuant to any Extension Request.
Such fee shall be computed on a daily basis and payable quarterly in arrears on the first day of each January, April, July and October during the term of this Agreement and on the expiration of the Tranche A-1 Term Loan Commitment Period or any earlier date of reduction of the Tranche A-1 Term Loan Commitments to zero.
Subject to the terms and conditions set forth in this Agreement, the Borrower and each of the Lenders agree that on the Effective Date but subject to the satisfaction of the conditions precedent set forth in Article VI, the Existing Tranche A-2 Term Loans are deemed to be, and shall be re-evidenced as Tranche A-2 Term Loans under this Agreement.
