Trade Debts definition

Trade Debts means all trading debts existing between any member of the Vendors' Group and any Group Company incurred in the ordinary course of business.
Trade Debts means amounts owing or accrued liabilities or obligations in the ordinary course of trading, and including interest accrued and VAT on such amounts, as a result of intra-group trading activity and the provision of goods or services supplied by a Group Company to a member of the Seller’s Group or vice versa, pursuant to the Related Party Arrangements and Continuing Arrangements. For reference purposes only, the amount of the Trade Debts as at 31 September 2017 is set out in Schedule 11; Transaction has the meaning given in Recital (B);
Trade Debts means all amounts owing to a Seller under the Contracts as at Completion (whether or not invoiced and whether or not due and payable at that time) and "TRADE DEBT" means any of those amounts;

Examples of Trade Debts in a sentence

  • From C&P Completion, the Buyer shall be solely responsible for the collection of the Trade Debts - Seller Group.

  • If requested by the Buyer, MGL will execute joint notices in a form acceptable to both parties addressed to each Trade Debtor - Seller Group notifying the Trade Debtors - Seller Group of the assignment of the Trade Debts - Seller Group.

  • Except as provided in this clause 13, the Seller is not obliged to take or continue, alone or jointly with the Buyer, any action with respect to the Trade Debts - Seller Group.

  • Trade Debts and other receivables are carried at invoices value, which approximates fair value less provision for impairment.

  • All Trade Debts and Trade Credits arising in respect of the Brand Operations after the Asset Purchase Completion shall be for the benefit of and/or borne by the Brand Operation Entities.


More Definitions of Trade Debts

Trade Debts means, on any date, the aggregate of all debts owed to the Borrower on that date on arms length commercial terms arising in the normal course of the Borrower's business.

Trade Debts all amounts owing to any of the Sellers by trade debtors in connection with the Business as at the Transfer Date in respect of goods or services supplied by any of the Sellers in the ordinary course of business before the Transfer Date (whether or not invoiced and whether or not then due and payable) together with all such amounts owing in respect of goods or services supplied by any of the Sellers in the ordinary course of business during the period between the Transfer Date and Completion (whether or not invoiced and whether or not then due and payable). "Transaction Documents" this Agreement, the Disclosure Letter, the Transitional Services Agreement and all other documents to be signed by the parties in relation to the Proposed Transaction at the date of this Agreement or at Completion "Transfer Date" 5.30pm on 9 January 2017
