Under the TPIA, documents collected, assembled or maintained for Landlord and to which Landlord has access under the terms of a contract may be deemed public information, subject to the exceptions in the TPIA.
Landlord shall use all reasonable efforts to provide prompt written notice to Tenant of any request received by Landlord pursuant to the TPIA or by any competent legal authority requesting Confidential Information or information collected, assembled or maintained for Landlord and to which Landlord has contractual access, for the purpose of providing Tenant an opportunity to seek to protect such information from disclosure.
Any obligation of Landlord under this Lease to (A) keep the terms and provisions of this Lease confidential; and/or (B) not disclose the terms of this Lease, shall be binding on Landlord only to the extent permitted by law, including without limitation, the TPIA.
Landlord makes no representation as to how the Attorney General of Texas will rule on any public information request but agrees to reasonably cooperate with Tenant in asserting exemption claims under the TPIA, provided any extensive briefing or analysis of documentation will be the responsibility of Tenant.
