Top Vendors has the meaning specified in Section 4.28(a).

None of the Top Vendors has advised the Company, whether verbally or in writing, that such Top Vendor intends to refuse or otherwise fail to supply goods or services to the Company at any time after the Closing Date in a manner consistent with past practices or, to the Sellers’ Knowledge, has breached its obligations to the Company in any material respect during the 12-month period ended the date hereof that was not cured after a reasonable period after notice from the Company.
During the 12-month period ended the date hereof, none of the Top Vendors has canceled, terminated or made any threat to cancel or otherwise terminate its business relationship with the Company.
More Definitions of Top Vendors
Top Vendors means a top ten (10) vendor of the Company or any of its Subsidiaries based on expenditures during the nine (9) months ended December 31, 2010, as set forth in Section 8.11(g) of the Company Disclosure Schedule.
Top Vendors means the top twenty (20) vendors of the Company and its Subsidiaries on a consolidated basis (based on total payments by the Company and its Subsidiaries for the twelve (12)-month period ended on September 30, 2025).
