"ERISA AFFILIATE" means any trade or business (whether or not incorporated) that is or was a member of a group of which the Company or any Subsidiary of the Company is or was a member and which is or was under common control with the Company or any Subsidiary of the Company within the meaning of Section 414 (b) or (c) of the Code or that would be treated as a single employer with the Company or any Subsidiary of the Company under Section 4001(a)(14) or Section 4001(b) of ERISA.

Title IV Plans means all “employee pension plans,” as defined in Section 3(2) of ERISA, subject to Title IV of ERISA or Section 412 of the Code, maintained by Seller or to which Seller or its Affiliates contributes or has contributed (and continues to have Liability), in each case on behalf of current or former employees of the Business.
