The Adviser. The Adviser will act in a limited advisory role to the Fund as outlined in the Investment Advisory Agreement (“Advisory Agreement”). The Adviser is not registered as an investment adviser with the Securities and Exchange Commission or any state regulatory authority. The Fund will pay the Adviser a fee based on its standard schedule of fees charged by the Adviser for similar services as provided for in the Advisory Agreement, if any such agreement is executed. The Partners acknowledge and understand that the Adviser is not serving as an investment adviser to any individual Partner, but rather to the Fund itself.
