Termination Documents definition

Termination Documents means, jointly (i) this Agreement, (ii) the waivers and withdrawals referred to in Clause Three hereof, and (iii) any other documents executed or to be executed by the Parties in connection with the termination of the Settlement Controversies.
Termination Documents means the instruments releasing the Security Instruments as liens on the Mortgaged Properties, UCC-3 Termination Statements terminating the UCC-1 Financing Statements in favor of Lender, and such other documents and instruments necessary to evidence the release of the Collateral from any Lien securing the Indebtedness, and the Notes, all in connection with the termination of this Master Agreement pursuant to Section 2.11 (Termination of Master Agreement).
Termination Documents means the Termination Agreement, the Release and the opinion letters dated as of even or near even date hereof executed by counsel to the parties.

More Definitions of Termination Documents

Termination Documents means the following documents: (i) a copy of all protocols prepared by PFIZER and regulatory filings made by PFIZER under this Agreement, (ii) a copy of all reports on Non-clinical and clinical studies sponsored by PFIZER under this Agreement which have been filed or prepared for filing with the FDA or other regulatory authorities, (iii) the data underlying any Non-clinical and clinical database owned by PFIZER in computer-readable form if readily available in a non-proprietary format, and (iv) a copy of all case report forms for patients enrolled in clinical studies sponsored by PFIZER for which no report has been prepared at the time of termination. PFIZER will have no obligation to complete or prepare study reports that have not been completed at the time of termination, but will assist INHALE reasonably in doing so.
Termination Documents means instruments and documents in form reasonably satisfactory to the Construction Agent and the City that (i) evidence the termination of this Agreement and (ii) transfer to the City any and all rights with respect to all Claims to, and all proceeds of, casualty insurance, and all claims to any Construction Loss Proceeds related to the Project.
