Terminating Employee definition

Terminating Employee means an Employee of Vornado or any of its Affiliates whose employment is not intended to be continued by Vornado or any of its Affiliates following the Effective Time and is not assigned to a member of the Newco Group, and whose employment is involuntarily terminated by Vornado as of or following the Effective Time.

Terminating Employee means any employee of the DevCo Group whose employment is terminated prior to the Effective Time.

Terminating Employee means an individual who is either a Terminating Cousins Employee or a Terminating Parkway Employee.

Examples of Terminating Employee in a sentence

• If, prior to the last business day of the Plan Period, the designated Subsidiary by which an employee is employed shall cease to be a subsidiary of the Company, or if the employee is transferred to a subsidiary of the Company that is not a Subsidiary, the employee shall be treated hereunder as a Terminating Employee.

• The Company shall take such other actions in furtherance of terminating such Terminating Employee Plan(s) as Parent may reasonably require.

• Unless Parent provides such written notice to the Company, the Company shall provide Parent with evidence that such Terminating Employee Plan(s) have been terminated (effective as of the day immediately preceding the Closing Date) pursuant to resolutions of the Company’s Board of Directors or other authorized actions.

• The Company also shall take such other actions in furtherance of terminating such Terminating Employee Plan(s) as Parent may reasonably require.

• The Terminating Employee would be deemed to have irrevocably agreed and be bound to transfer, or be bound to instruct any nominee to transfer, the C2 to the holders of the ordinary shares for nil consideration.

More Definitions of Terminating Employee

Terminating Employee means any employee of Company who will not be a Continuing Employee and whose employment will be terminated immediately prior to or after the Closing Date.

Terminating Employee means any individual who was an employee of either the Xxxx Xxx Business or the CoffeeCo Business prior to the Effective Time who has not been offered a permanent post-Separation position with the Xxxx Xxx Business or the CoffeeCo Business, or who has not accepted such an offer, and whose employment will terminate effective on, or within a defined transition period after, the Distribution Date and who will not thereafter be an employee of any of the Xxxx Xxx Parties or the CoffeeCo Parties.

Terminating Employee shall have the meaning given in Clause 5.7; “Transfer Agreements” means the agreements entered into between the Company and the Council to transfer the Properties and the Business to the Company; and “Value Added Tax” shall have the meaning given in the Value Added Tax Act 1994 and shall include any similar tax whether in substitution thereof or in addition thereto.

Terminating Employee means any individual who was an employee of either the Sara Lee Business or the CoffeeCo Business prior to the Effective Time who has not been offered a permanent post-Separation position with the Sara Lee Business or the CoffeeCo Business, or who has not accepted such an offer, and whose employment will terminate effective on, or within a defined transition period after, the Distribution Date and who will not thereafter be an employee of any of the Sara Lee Parties or the CoffeeCo Parties.

Terminating Employee shall have the meaning set forth in Section 4.8 of the Agreement.
