Definition of Term Collateral Agent


Term Collateral Agent means Goldman Sachs Bank USA in its capacity as collateral agent under the Term Loan Documents, or any successor collateral agent under the Term Loan Documents.

The Term Collateral Agent, for itself and on behalf of the Term Secured Parties, promptly shall execute and deliver to the Revolving Collateral Agent such termination statements, releases and other documents as the Revolving Collateral Agent may request to effectively confirm such release.
Subject to the terms of the Intercreditor Agreements, each Grantor will promptly deliver to the Term Collateral Agent or the Notes Collateral Agent (or their respective non-fiduciary agents or designees) upon execution of this Security Agreement all certificates or instruments, if any, representing or evidencing the Pledged Collateral, together with duly executed instruments of transfer or assignments in blank.
