Alfa, Telenor, RTK, CIG, Barings and the Company wish to enter into this Agreement in respect of certain matters of corporate governance, including the composition of the board of directors of the Company and the conduct of the affairs of the Company, and the other matters described herein.
The Company shall not enter into any agreement with any holder or prospective purchaser of any securities of the Company that would allow such holder or prospective purchaser to require the Company to include shares or securities in any registration initiated under Section 2.1, nor shall the Company include any shares or securities for its own account in any such registration, without the prior written consent of Telenor and Alfa.
Nothing in this Agreement will be construed as giving any Person any right, remedy or claim under or in respect of this Agreement or any provision hereof, other than the Parties and, to the extent provided in ARTICLE VIII, the Telenor Affiliates, the Alfa Affiliates, the Storm Indemnified Parties and their respective successors and permitted assigns.
If, at any time following such amendment of the Bye-Laws, the Alfa Shareholders and the Telenor Shareholders (together with their respective Affiliates) each own a sufficient number of Shares to exceed the M&A Consent Threshold, the Parties agree to procure that the Bye-Laws shall be amended so that any Unrelated M&A Transaction shall require shareholder approval as set out in Section 4.07(d).
Such facility fee shall be deemed earned as of the first day of each month and shall not be subject to rebate or proration for any reason.
