Target Service Level definition

Target Service Level means, in respect of each Performance Measure, the number or percentage intended to represent a reasonable level of performance for the activity which is the subject of the Performance Measure, as set out in:
Target Service Level means the target for service levels as specified in the SLA “Term” means the effective term of this Agreement.
Target Service Level means, in relation to any Service Measure or KPI, the level of service which the Contractor is required to achieve or exceed in relation to the performance of the Services and its other obligations under this Agreement, as set out in Appendix 1 of Schedule 2.2 (Performance Measures and Monitoring);

  • Amber indicates a failure to meet the Target Service Level (TSL) but has achieved MSL.

  • Each Service Measure and KPI shall be subject to a Target Service Level and a Minimum Service Level, as set out in Part A of Appendix 1.

  • In this Schedule 2.2, a " KPI Failure" means a failure by the Contractor to achieve the Target Service Level for any KPI in relation to the relevant Measurement Period.

  • The Contractor shall, at all times following the date which is three (3) months after the Achievement of the Commencement of Initial Operational Service Milestone, provide the Services (or perform its other obligations under this Agreement) in such a manner that the Target Service Level for each KPI is achieved or bettered.

More Definitions of Target Service Level

Target Service Level means the expected performance range, within which no Service Level Default is assessed, and no Service Level Credit is granted.
Target Service Level means a Service Level metric that is mutually established after a [***]* period of evaluation per Section 4.2 of Schedule B of the applicable Service Agreement.
Target Service Level means a Service Level which, as of the effective date of the applicable Service Appendix, is a Service Level for which the Parties have some knowledge on which to base an estimate, but are difficult to ascertain with sufficient certainty and, therefore, represent good faith estimates of what such level should be for the corresponding Service or are Service Levels which require time for OneNeck to understand and manage prior to becoming Absolute Service Levels which immediately render Service Credits if not met.
Target Service Level means the target level of service to be provided by the Contractor, as described in Schedule 1 (Specification).

Target Service Level means the minimum level of performance set forth in the “Service Levels” Exhibit and/or any applicable Statement(s) of Work with respect to each Critical Service Level and Key Measurement. Term has the meaning set forth in Section 1.1 of the Agreement and any extension of the Term described in the Agreement. Termination has the meaning set forth in Section 25 of the Agreement. Termination/Expiration Assistance has the meaning set forth in Section 27.1 of the Agreement. Third Party Contracts means those contractual, leasing and licensing arrangements to which one or more members of Customer Group, or their or its Affiliates, is a party and pursuant to which a member of Customer Group receives any third party products, software and/or services that Supplier will access or use in providing the Services and for which Supplier is assuming operational, compliance, financial, management and/or administrative responsibility under the Agreement. Third Party or third party means any person or entity that is not a Party to the Agreement and is not an Affiliate of a Party to the Agreement. Total Service Level Credits means the amount equal to the sum of the actual Service Level Credits paid in any rolling 12 month period at any time during the Term. Trade Secrets means with respect to a Party and/or designated group including such Party, information related to the services and/or business of the disclosing Party and/or such group and/or of a third party which (a) derives economic value, actual or potential, from not being generally known to or readily ascertainable by other persons who can obtain economic value from its disclosure or use; and (b) is the subject of efforts by the disclosing Party and/or such group that are reasonable under the circumstances to maintain its secrecy, including without limitation (i) marking any information clearly and conspicuously with a legend identifying its confidential or proprietary nature; (ii) identifying any oral presentation or communication as confidential immediately before, during or after such oral presentation or communication; or (iii) otherwise, treating such information as confidential or secret. Target Service Level means the expected performance range, within which no Service Level Default is assessed, and no Service Level Credit is granted. Measurement periods are monthly, in arrears, with Service Level Defaults and Service Level Credits being calculated monthly. Any Service Level Credits shall be credited to the Customer annually in arrears, as applicable. The SLA’s set forth in this Exhibit shall be Customer’s sole and exclusive remedy related to the SLA default and such Service Level Credits are in lieu of other available remedies such as damages for breach of contract.
