A Synthetic Position shall not include (1) any interests, rights, options or other securities set forth in Rule 16a-1(c)(1)-(5) or (7) of the General Rules and Regulations under the Exchange Act or (2) any Voting Securities beneficially owned (as defined in Rule 13d-3 under the Exchange Act) by such Person or its Affiliates or any Net Long Position held by such Person or its Affiliates.
Bandera represents, warrants and covenants to the Company that, as of the date of this Agreement, Bandera collectively Beneficially Owns and is entitled to vote an aggregate of 3,937,296 shares of Common Stock and does not have a Synthetic Position with respect to the Company.
The Icahn Group, upon request, shall keep the Company regularly apprised of the Net Long Position and any Synthetic Position of the Icahn Group and the Icahn Affiliates to the extent that such position differs from the ownership positions publicly reported on the Icahn Group’s Schedule 13D and amendments thereto or, in the event the Icahn Group is no longer required to file or update a Schedule 13D regarding its ownership of Common Shares, the Icahn Group’s Form 13F.
The Icahn Group, upon request, shall promptly provide the Company written proof of its ownership in the Company, including its Net Long Position and any Synthetic Position held by the Icahn Group and the Icahn Affiliates.
The Engaged Group further agrees to notify the Company of its collective beneficial ownership of Common Stock (including notional shares associated with any Derivatives or other Synthetic Position) at the time (if any) it seeks to exercise its rights with respect to a Replacement Director in accordance with Section 1(c).
