After receipt of such funds by the Swingline Agent and upon fulfillment of the applicable conditions set forth in Article 3, the Swingline Agent will make such funds available to the relevant Borrower as specified in the applicable Notice of Swingline Borrowing.
Each Borrower may, upon notice to the Swingline Agent by 9:00 A.M. (London time) on the date of the prepayment stating the aggregate principal amount of the prepayment, and, if such notice is given such Borrower shall, prepay the outstanding principal amount of the Swingline Advances comprising part of the same Swingline Borrowing in whole or ratably in part; provided, however, that each partial prepayment shall be in an aggregate principal amount of no less than $1,000,000.
Each Swingline Borrowing shall be made on notice, given not later than 12:00 P.M. (New York time) on the date of the proposed Swingline Borrowing, by the Borrower to the Swingline Agent (with a copy of such notice by email and promptly thereafter telephonically notified to the Facility Agent) which shall give to the Swingline Lenders prompt notice thereof by email.
Each Swingline Borrowing shall be in an aggregate amount of no less than $1,000,000.
Each Swingline Lender shall, before 1:30 P.M. (New York time) with respect to Notices of Swingline Borrowing given before 12:00 P.M. (New York time), on the date of such Swingline Borrowing, make available for the account of its Applicable Lending Office to the Swingline Agent, in same day funds, such Swingline Lender’s ratable portion of such Swingline Borrowing.
