Surviving Entities definition

Surviving Entities has the meaning set forth in Section 2.1(b).

Surviving Entities means the First Merger Surviving Corporation and the Second Merger Surviving Entity.

Surviving Entities means, collectively, the Solstice Surviving Corporation, the Glass Surviving Corporation, and the GB Surviving Entity.

Examples of Surviving Entities in a sentence

• Parent shall take all action necessary to cause each of the Merger Subs and the Surviving Entities to perform their respective obligations under this Agreement.

• Neither this Agreement nor any rights, interests or obligations hereunder shall be assigned or delegated, in whole or in part, by any of the parties hereto (whether by operation of Law or otherwise) without the prior written consent of the other parties hereto (except to the Surviving Entities).

• The managers and officers of each of AME, POR and RVC, as the Surviving Entities, shall, from and after the Effective Time, be the managers and officers as set forth on Schedule 2.07 until their successors have been duly elected or appointed and qualified or until their earlier death, resignation or removal in accordance with the Governing Documents of such Surviving Entity.

• To the extent that amounts are so withheld by Parent or one of the Surviving Entities, as the case may be, such withheld amounts shall be treated for all purposes of this Agreement as having been paid to the holder of the shares of EFTC Common Stock or TBF II Units, as the case may be, in respect of which such deduction and withholding was made.
