Supplier Material definition

Supplier Material means any material provided by, or to which
Supplier Material means the Deliverables and any material provided by or to which access is given by Supplier to the Customer for the purposes of the Master Agreement (which these terms and conditions form part of) including documents, data, equipment, reports, technical information, studies, plans, charts, drawings, calculations, tables, schedules and data stored by any means.
Supplier Material means as the context requires, the Documentation and/or the Deliverables.

  • Once anonymous, such information is Supplier Material (and not Customer Material).

  • Customer acknowledges that its rights pursuant to this Call-Off Agreement do not extend beyond the licence set out in Section 2 of these Supplier Terms and that it will not acquire any Intellectual Property Rights in the Platform, subsequent Versions, Updates, Supplier Material or any other aspect of the Services.

  • In the event of a warranty claim made under these Call-Off Terms, the Supplier’s sole responsibility shall be to repair or replace the allegedly defective aspect of the Services and/or Supplier Material, or if such defective aspect relates to the Platform, resolve the same as part of the Support Services.

  • Except as otherwise provided in this Call-Off Agreement, Supplier disclaims all warranties, terms and conditions of merchantability, satisfactory quality, accuracy, non-infringement, title or fitness for a particular purpose regarding the Services (including but not limited to the Platform, Artefacts and Supplier Material), all software has glitches or unforeseen errors, and Supplier makes no warranties and disclaims all warranties, terms and conditions that the Services will function without interruption.

  • Customer acknowledges and agrees that the Supplier (or its licensors) own all right, title and interest to (including but not limited to any Intellectual Property Rights arising in) the Platform, subsequent Versions, Updates, Artefacts, Supplier Material or any other aspect of the Services, developed prior to during or after any work performed for Customer pursuant to this Call-Off Agreement (together, the “Supplier IPR”).

Supplier Material means all technical reports, drawings,
Supplier Material means all Intellectual Property Rights owned by Supplier which existed before the Effective Date (including any Intellectual Property Rights arising in any modifications, enhancements, improvements and updates thereto which are created by the Supplier in connection with the provision of the Services under this Agreement) and all Intellectual Property Rights owned by Supplier which have come into existence, otherwise than in connection with this Agreement, after the Effective Date (including any developments, modifications, updates and enhancements thereto), in each case which may be used in the provision of the Services and/or included in the Deliverables; and
Supplier Material means any material provided to a member of the Purchaser Group by the Supplier or on the Supplier’s behalf in connection with the Contract. Tax means any present and future tax, levy, impost, duty, rate, charge, fee, deduction or withholding of any nature imposed or levied by an Authority, together with any penalties, fines or interest thereon.
Supplier Material means proprietary works of authorship, pre-existing or otherwise, including without limitation software, computer programs, methodologies, templates, flowcharts, architecture designs, tools, specifications, drawings, sketches, models, samples, records and documentation, as well as Intellectual Property Rights and any derivatives thereof, which have been originated, developed or purchased by Supplier or to a parent or affiliated company of Supplier.
Supplier Material means any Material owned by the Supplier or licensed to the Supplier by a third party before the Commencement Date, or developed by the Supplier or licensed to the Supplier outside the scope of the Agreement, and provided to HKE in connection with the Services. Taxes means taxes, levies, imposts, duties, excise and charges, deductions or withholdings, however described, imposed by law or government authority or agency. Term means the entire period during which the Supplier’s appointment by HKE as the provider of the Service remains in place or as otherwise agreed between the Supplier and HKE in writing.
Supplier Material means all material in which the Supplier owns or is licensed the Intellectual Property Rights and is provided to the Commission as Contract Material or for the purposes of performing the Services and includes third party Material.
Supplier Material means any product, processes, manuals, documents, equipment or other resource or item including Supplier Software that are owned by the Supplier and used by the Supplier in the provision of the Services but excluding any Specially Written Material or Third Party Material.
