All such Eligible Investments will be made in the name of the Trustee of the Supplemental Interest Trust (in its capacity as such) or its nominee.
Prior to the termination of the Supplemental Interest Trust, any transferee of this Certificate who is a Plan subject to ERISA or Section 4975 of the Code, any Person acting, directly or indirectly, on behalf of any such Plan or any person using Plan Assets to acquire this Certificate shall be deemed to have made the representation made except in accordance with Section 5.02(d) of the Agreement.
The Supplemental Interest Trust shall be maintained by the Supplemental Interest Trust Trustee.

For the avoidance of doubt, any Basis Risk Carry Forward Amounts shall be paid to the LIBOR Certificates first from the Excess Reserve Fund Account and then from the Supplemental Interest Trust.
