Substitute Note definition

Substitute Note means all notes given in substitution or exchange for the Promissory Note or another Substitute Note.
Substitute Note means the Substitute Note (as defined in the Stock Purchase Agreement) issued by the Borrower to Occidental Petroleum Corporation in connection with the Acquisition.
Substitute Note has the meaning set forth in Section 2.5(e).

More Definitions of Substitute Note

Substitute Note means one or more notes payable to the order of the Seller, substantially in the form of Exhibit 9.83 hereto, which provides for interest at a rate equal ------------ to 0.3% plus the rate of interest (the "fixed rate equivalent") applicable to a promissory note with a fixed rate of interest that has the same present value as a promissory note that bears interest at the LIBO Rate applicable for each interest period, assuming that both notes have the same original principal amount as such Substitute Note and pay interest and principal at the same times as such Substitute Note, which fixed rate equivalent shall be determined on the fifth Business Day prior to the Closing Date by reference to the implied forward LIBO Rates derived from the eurodollar futures market, which implied forward LIBO Rates are published by an independent source agreed to by the Buyer and the Seller, in accordance with a methodology previously agreed to by the Buyer and the Seller.
