Subsequent Amendment definition

Subsequent Amendment means any amendment, restatement, amendment and restatement, supplement or other modification to an Existing Credit Agreement or an Existing Repurchase Agreement, as applicable, which amendment, restatement, amendment and restatement, supplement or other modification, as the case may be, (a) is entered into by the Company and/or any of its Subsidiaries after the Issue Date pursuant to a term sheet, commitment letter or engagement letter executed on or prior to the Issue Date by the Company and/or any of its Subsidiaries, on the one hand, and one or more lenders, agents or other parties (or one or more Affiliates of any such lenders, agents or other parties) on the other hand (regardless of whether or not the terms of the amendment, restatement, amendment and restatement, supplement or other modification actually entered into differ from those reflected in such term sheet, commitment letter or engagement letter, as the case may be) and (b) increases or results in an increase in the maximum aggregate amount of the commitments, borrowings or financing, as applicable, (i) available to the Company and/or any of its Subsidiaries under such Existing Credit Agreement or Existing Repurchase Agreement, as applicable, or (ii) which the Company and/or any of its Subsidiaries may require (pursuant to any right, option or otherwise) or request be made available thereunder (including, without limitation, pursuant to any committed or uncommitted accordion provisions).
Subsequent Amendment shall have the meaning set forth in Section 2.1.
Subsequent Amendment or "Supplemental Declaration" shall mean an amendment to this Declaration which adds additional real property to that covered by this Declaration, or which withdraws real property from that covered by this Declaration. Such Subsequent Amendment may, but is not required to, impose, expressly or by reference, additional restrictions and obligations on the land submitted by that Subsequent Amendment to the provisions of this Declaration.

  • Provided that Vector and VGR have complied with Section 1.1 hereof and shall not subsequently have amended the Offer (other than by a Permitted Subsequent Amendment), the undersigned Stockholder shall not request that the Company register the transfer (book-entry or otherwise) of any certificate or uncertificated interest representing any of the Owned Shares, unless such transfer is made to perform the Stockholder’s obligations under Section 1.2 hereof.

More Definitions of Subsequent Amendment

Subsequent Amendment means an amendment to this Declaration which subjects additional property to this Declaration, or which withdraws property previously submitted to this Declaration. Such Subsequent Amendment may, but is not required to, impose, expressly or by reference, additional restrictions and obligations on any land submitted by a Subsequent Amendment to the provisions of this Declaration.
Subsequent Amendment means and refer to an amendment to this Declaration that adds additional property to that subject to this Declaration, or adds new or modifies existing provisions of this Declaration.
Subsequent Amendment means an amendment to this Declaration which adds Additional Land to that covered by this Declaration. Such Subsequent Amendment may, but is not required to, impose, expressly or by reference, additional restrictions and obligations on the Additional Land submitted by that Subsequent Amendment to the provisions of this Declaration.
Subsequent Amendment means an amendment to this Declaration which may subject additional Uncommitted Lands (defined below) to this Declaration, may withdraw Committed Lands from the coverage of this Declaration, and may also, but is not required to, impose, expressly or by reference, additional restrictions and obligations on the Committed Lands, or any Uncommitted Lands submitted by the Subsequent Amendment to the provisions of this Declaration.
Subsequent Amendment means any amendment to these Covenants which adds additional property to the coverage of the Covenants. Such “Subsequent Amendment” may, but is not required to, impose additional restrictions and obligations on the land submitted by such Amendment to the provisions of these Covenants.
Subsequent Amendment means an amendment to this Declaration which may, but is not required to, impose, expressly or by reference, additional restrictions and obligations on the Committed Lands.
Subsequent Amendment means an amendment to this Declaration which may subject additional property to this Declaration, may withdraw property from the coverage of this Declaration, and may also, but is not required to, impose, expressly or by reference, additional restrictions and obligations on the Property, or on any land submitted by a Subsequent Amendment to the provisions of this Declaration.
