Subscription Documents definition

Subscription Documents means with respect to any Investor, its Subscription Agreement and Side Letter, as applicable.
Subscription Documents means and includes the Note, Securities Purchase Agreement and all related documents executed in connection therewith, including, without limitation, any amendments to any of the foregoing.
Subscription Documents means this Subscription Agreement, its exhibits, and any documents incorporated by reference therein. Capitalized words that are used but not defined in this Agreement have the meaning given them in the Limited Partnership Agreement of the Fund.

  • It shall not be required to refer to the applicable Secured Party Subscription Documents, or take any other action with respect to any other matter which might arise in connection with such Secured Party Subscription Documents or any Capital Call.

  • For the avoidance of doubt, any and all costs and expenses incurred by the Agent in connection with this Agreement and the Subscription Documents shall be reimbursed by the Holders severally and jointly.

  • No Holder which transfers any Obligations owing to it shall transfer its benefits under the Subscription Documents without obtaining from the transferee and delivering to the Agent and the Holders, a Joinder Agreement and an executed acknowledgement of the transferee agreeing to be bound by the terms hereof to the same extent as if it had been a Holder on the date hereof.


More Definitions of Subscription Documents

Subscription Documents mean any subscription agreements (or the equivalent), investor questionnaires, purchase applications, related agreements and similar materials (and any forms, correspondence and other documents ancillary thereto) relating to a Fund’s investments in Portfolio Funds.
Subscription Documents means, with respect to a Purchaser, a Subscription Agreement duly completed by the Purchaser together with all applicable duly completed schedules to the Subscription Agreement in the forms attached thereto and any other forms or documents required under applicable Securities Laws or any other Applicable Laws;
