The Subscriber agrees that the Placement Agent shall not be liable to it (including in contract, tort, under federal or state securities laws or otherwise) for any action heretofore or hereafter taken or omitted to be taken by any of them in connection with the sale of Acquired Securities pursuant to this Subscription Agreement, except for such party’s own fraud, gross negligence, willful misconduct or bad faith.
Each Subscriber agrees not to commence any litigation or bring any claim against the Placement Agent in any court or any other forum which relates to, may arise out of, or is in connection with, the sale of Acquired Securities pursuant to this Subscription Agreement, except for such party’s own fraud, gross negligence, willful misconduct or bad faith.
If any provision of this Warrant is found to conflict with the Subscription Agreement, the provisions of this Warrant shall prevail.
The Issuer agrees and acknowledges that the Placement Agent may rely on its representations, warranties, agreements and covenants contained in this Subscription Agreement and each Subscriber agrees that the Placement Agent may rely on such Subscriber’s representations and warranties contained in this Subscription Agreement as if such representations and warranties, as applicable, were made directly to the Placement Agent.
The addresses for notice shall be as set forth in the Subscription Agreement.
