Subject Person definition

Subject Person has the meaning assigned to such term in the definition of “Consolidated Net Income”.

Subject Person means a controlling person, subsidiary or affiliate of a licensee, a director, officer, manager, or employee of a licensee or of a controlling person, subsidiary or affiliate of a licensee, or any other person that participates in the conduct of the business of a licensee.

Subject Person has the meaning specified in the definition of “Change of Control”.

• OFAC may order the Subject Person to cease and desist from conduct that is prohibited by any of the sanctions programs enforced by OFAC when OFAC has reason to believe that a Subject Person has engaged in such conduct and/or that such conduct is ongoing or may recur.

• OFAC will afford the Subject Person an opportunity to respond to OFAC’s determination that a violation has occurred before a final penalty is imposed.

• Where settlement discussions occur prior to the issuance of a Pre-Penalty No- tice, the Subject Person may request in writ- ing that OFAC withhold issuance of a Pre- Penalty Notice pending the conclusion of settlement discussions.

• A Finding of Violation will afford the Subject Person an opportunity to re- spond to OFAC’s determination that a viola- tion has occurred before that determination becomes final.

• The response should include all documentary or other evi- dence available to the Subject Person that supports the arguments set forth in the re- sponse.
