The Group Structure Chart accurately records in all material respects (other than any nominal shareholdings required by law) the structure of the Company and its operating Subsidiaries as at the date of this Agreement.
All such work which may affect the Building’s Structure or the Building’s Systems must be approved by the Project’s engineer of record, at Tenant’s expense and, at Landlord’s election, must be performed by Landlord’s usual contractor for such work.
All such work shall be performed in accordance with all Laws and in a good and workmanlike manner so as not to damage the Project (including the Premises, the Building’s Structure and the Building’s Systems) and shall use materials of a quality that is at least equal to the quality designated by Landlord as the minimum standard for the Building, and in such manner as to cause a minimum of interference with other construction in progress and with the transaction of business in the Project.
If any such damage affects the Building’s Systems and/or Building’s Structure or any area outside the interior surface of the curtain walls of the Building, then Landlord may elect to repair such damage at Tenant’s expense, rather than having Tenant repair such damage.
Landlord shall maintain, repair and replace the Building’s Structure, the driveways, alleys, parking areas, roads, landscape and grounds of the Project, the exterior of the Building (including painting, caulking and sealing) and any items normally associated with the foregoing, in each case, in good condition and consistent with the operation of a bulk warehouse/industrial facility.
