Strike Rate definition

Strike Rate means a fixed rate of interest under the Cap Agreement that does not exceed the Original Strike Rate.
Strike Rate means (i) with respect to the period from the Closing Date through the Floating Rate Component Initial Maturity Date, a percentage rate equal to four and three-quarters percent (4.75%) and (ii) with respect to any Floating Rate Component Extension Period, the lower of (a) a percentage rate equal to five and one-quarters percent (5.25%) and (b) a percentage rate equal to a percentage rate per annum which, when added to the LIBOR Spread, would yield a Debt Service Coverage Ratio of at least 1.20:1.00.

Pursuant to the Interest Rate Cap Agreement, the Interest Rate Cap Provider, against payment of the Interest Rate Cap Fees by the Issuer on the Closing Date, shall make payments to the Issuer on each Interest Payment Date if and to the extent the one month Euro Interbank Offered Rate ("EURIBOR") for the relevant Interest Period exceeds the Cap Strike Rate.

Strike Rate means (i) with respect to the Initial Loan Term and the First Extension Period, 6% and (ii) with respect to the Second Extension Period and the Third Extension Period, a rate per annum, which, when added to the weighted average of the Spread and the Mezzanine A Spread, would result in an annual Adjusted Debt Service (based on the sum of the outstanding principal balance of the Loan, the Mezzanine A Loan and the Unadvanced Mezzanine A Loan Funds at the time of calculation) in an amount that would produce a Debt Service Coverage Ratio of 1.05 to 1.0 for the succeeding twelve (12) month period, based upon the projected Net Operating Income for the Properties as determined by Lender in its reasonable discretion. Lender shall determine the Strike Rate for each Extension Period no later than three (3) Business Days prior to the commencement of such Extension Period and such determination shall be conclusive and binding on Borrower absent manifest error.
