Stock Agreements definition
Stock Agreements means the agreements, each dated December 17, 1996, between ASI Acquisition Corp. and various shareholders of American Studios, Inc. pursuant to which such shareholders (i) granted an option to ASI Acquisition Corp. to purchase their ASI common shares and (ii) agreed to tender their ASI common shares in connection with the Tender Offer.
Stock Agreements has the meaning specified in Section 3.3(b).
Stock Agreements means (a) the Investors Agreement dated as of June 3, 1987, among the Company and the original holders of the Class C Preferred Stock; (b) the Shareholders' Agreement dated as of June 3, 1987, as amended by the First Amendment dated as of April 15, 1988, among the Company, R.E. Turner, III, and the original holders of the Class C Prefe▇▇▇▇ ▇tock; (c) the Voting Agreement dated as of June 3, 1987, among certain holders of Class C Preferred Stock and (d) the Agreement dated as of June 3, 1987 among TW Parent, certain of the Shareholders and certain other holders of Class C Preferred Stock affiliated with TW Parent and/or LMC Parent. To the knowledge of TCI and LMC Parent, none of TCI, LMC Parent or any of their respective Affiliates are party to any agreement with the Company, any of the Company's Affiliates, TW Parent or any of TW Parent's Affiliates that would require the consent, waiver or approval of or by TCI, LMC Parent or any of their respective Affiliates of the Merger or for the consummation of any of the Transactions, or the execution, delivery or performance of the Merger Agreement, this Agreement or the Additional Agreements, other than the Stock Agreements.
Examples of Stock Agreements in a sentence
The exercise of Employee’s vested options and shares shall continue to be governed by the terms and conditions of the Company’s Stock Agreements.
The provisions of the various Restricted Stock Agreements entered into under the Plan need not be identical.
The Plan and applicable Stock Agreement(s) shall govern any grants of restricted shares and/or stock options to purchase shares of Company’s Common Stock and/or such other awards.
Such shares of common stock, when issued, sold and delivered, as provided for herein and in the Restricted Stock Agreements, will be validly issued, fully paid and nonassessable, with no personal liability attaching to the ownership of the shares.

More Definitions of Stock Agreements
Stock Agreements means collectively, the RBA Stock Agreement, the FLAT▇▇▇ ▇▇▇ck Agreement and the TBA Stock Agreement, and "Stock Agreement" means each of such Stock Agreements, individually.

Turn▇▇, ▇▇I, and the original holders of the Class C Preferred Stock; (c) the Voting Agreement dated as of June 3, 1987, among certain holders of Class C Preferred Stock and (d) the Agreement dated as of June 3, 1987 among TW Parent, certain of the Shareholders and certain other holders of Class C Preferred Stock affiliated with TW Parent and/or LMC Parent. To the knowledge of TCI and LMC Parent, none of TCI, LMC Parent or any of their respective Affiliates are party to any agreement with the Company, any of the Company's Affiliates, TW Parent or any of TW Parent's Affiliates that would require the consent, waiver or approval of or by TCI, LMC Parent or any of their respective Affiliates of the Merger or for the consummation of any of the Transactions, or the execution, delivery or performance of the Merger Agreement, this Agreement or the Additional Agreements, other than the Stock Agreements.
Stock Agreements shall continue to be governed by the terms and conditions of the “Stock Agreements”, as applicable. ▇▇. ▇▇▇▇▇ will have vested in the number of shares subject to his outstanding Options, and the number of RSUs, as is set forth on Exhibit A attached hereto, and no more.
Stock Agreements or any agreements referred to therein, the definition set forth herein shall control.
Stock Agreements means the Employee Stock Agreements each of which is dated as of January 21, 1988, between the Company and certain Stockholders.
