On a quarterly basis, with respect to each Index-Linked Deferred Annuity Policy, the Ceding Company shall be permitted in accordance with the applicable Plan of Operations to withdraw from the applicable Separate Account a risk charge fee in an amount equal to (a) thirty (30) basis points per annum multiplied by (b) the Statutory Reserves in respect of the applicable Index-Linked Deferred Annuity Policies (the “Risk Charge”).
With the written consent of the Ceding Company, which consent may not be unreasonably withheld, the Reinsurer may elect to support its Quota Share of the increase in the Statutory Reserves with an alternative reinsurance structure that results in the Ceding Company receiving statutory credit for the reinsurance provided by the Reinsurer with respect to such increase in Statutory Reserves, including a reinsurance structure involving a letter of credit.
