Any fiduciary duties that would otherwise be imposed on the Sponsor under the Maryland Trust Statute, at law or in equity are hereby eliminated and replaced entirely by the terms of this Trust Agreement.
The Sponsor shall reasonably keep the Maryland Trustee informed of any actions taken by the Sponsor with respect to the Trust that would reasonably be expected to affect the rights, obligations or liabilities of the Maryland Trustee hereunder or under the Maryland Trust Statute.
The duties of the Maryland Trustee shall be limited to (i) accepting legal process served on the Trust in the State of Maryland, and (ii) the execution of any certificates required to be filed with the State Department of Assessments and Taxation of Maryland which the Maryland Trustee is required to execute under Section 12-204 and 12-205 of the Maryland Trust Statute, and (iii) any other duties specifically allocated to and agreed upon by the Maryland Trustee in this Trust Agreement.
The successor trustee shall file any necessary amendments to the Certificate of Trust as required under the Maryland Trust Statute.
It is the intention of the parties hereto that the Trust shall be a statutory trust, under the Maryland Trust Statute and that this Trust Agreement shall constitute the governing instrument of the Trust.
