Upon the exchange of the entire Stated Principal Amount of a Global Note for Certificated Registered Notes in accordance with clause (i) or (ii) above, such Global Note will be canceled by the Indenture Trustee or its agent.
As provided in the Indenture and subject to certain limitations therein set forth, Class A Notes are exchangeable for new Class A Notes in any authorized denominations and of like aggregate Stated Principal Amount, Expected Final Distribution Date and Legal Maturity Date and of like terms upon surrender of such Notes to be exchanged at the office or agency of the Issuer in a place of payment.
