This Agreement and Section 6.04 of the Stakeholders' Agreement constitute the entire agreement among the parties hereto pertaining to the subject matter hereof and supersede all prior agreements and understandings pertaining thereto.
Notwithstanding the foregoing, in the event of a reduction in the number of Units eligible to be included in an underwritten offering as provided in Section 6.4(b) of the Stakeholders' Agreement, the Employee acknowledges and agrees that any Units he requests be included in such an offering will be reduced or eliminated first before any reduction in Units is made as provided in Section 6.4(b) of the Stakeholders' Agreement.
