The Purchaser and the Stakeholder Representatives acknowledge that the Purchaser’s only rights and remedies in respect of any breach of Clause 9.1 are under and/or pursuant to the Scheme and this Clause 9.2, and Clauses 9.6 and 9.8.
Following delivery of a Leakage Notice, the Purchaser and the Stakeholder Representatives shall discuss in good faith and either seek to agree (i) that Leakage has occurred, (ii) the amount thereof; and (iii) the identity of the relevant Scheme Shareholders to whom such Leakage is attributable, or confirm that no such Leakage has occurred.
