Specified Geographical Area definition

Specified Geographical Area has the meaning set forth in Section 10(c)(iv).
Specified Geographical Area means (A) the Company’s Mineral Interests as of the Termination Date and the geographical area within twenty-five (25) miles of any such Mineral Interests; and (B) the geographical locations where the Company attempted to acquire, or was investigating the acquisition of, Mineral Interests within twelve (12) months before the Termination Date and about which Executive had access to or created Confidential Information.
Specified Geographical Area means (A) the Company’s Oil and Gas Interests as of the Date of Termination; (B) the Company’s Prospective Oil and Gas Interests (as defined in Section 10(c)(iii)); (C) outer continental shelf Blocks adjacent to the Company’s Oil and Gas Interests as of the Date of Termination; and (D) the surface area within three (3) miles of the Company’s Oil and Gas Interests as of the Date of Termination or the Company’s Prospective Oil and Gas Interests.

  • All proprietary rights and information concerning any transactions outside the Specified Geographical Area which are under development by Seller or the Transferred Employees shall remain with Seller.

  • The provisions of this Article VIII and the participation rights granted herein shall not limit or restrict the Seller or Purchaser from pursuing or developing transactions outside of the Specified Geographical Area.

More Definitions of Specified Geographical Area

Specified Geographical Area means the geographical area described in Exhibit D hereto.
Specified Geographical Area means (i) the Company’s, Parent’s or any of their respective Related PartiesOil and Gas Interests as of the Effective Time; and (ii) the surface area within one (1) mile of the Company’s, Parent’s or any of their respective Related Parties’ Oil and Gas Interests as of Effective Time.
Specified Geographical Area has the meaning set forth in Section 7(g).
Specified Geographical Area means (i) Employer’s existing oil and gas leases as of the Date of Termination; (ii) outer continental shelf Blocks adjacent to Employer’s existing oil and gas leases as of the Date of Termination; (iii) the areas within 3 miles of Employer’s existing oil and gas leases as of the Date of Termination; and (iv) areas with respect to which Employer had actively investigated obtaining interests or with respect to which Employer had developed Confidential Information, in each instances in within six (6) months of the Date of Termination.
Specified Geographical Area means the area within which development projects are subject to a fee, as identified in each implementing resolution.
Specified Geographical Area means, any area within a one hundred (100) mile radius of any city or county in any state or country in which, at any time, during the the period July 1, 1999, through the date of termination of this Employment Agreement, the Company had customers for its products or delivered its products or services to or for customers; and
Specified Geographical Area means the United States and any international market in which any of the Ashford-Related Entities conducts such business as of the Date of Termination, in each case where the Executive had duties or responsibilities in respect of or performed services for the Company, which the Parties stipulate is a reasonable geographical restriction because of the scope of the Company’s operations and the Executive’s duties and responsibilities. The Executive may not avoid the purpose and intent of this restriction by engaging in conduct within the Specified Geographical Area from a remote location through means such as telecommunications, written correspondence, computer generated or assisted communications, or other similar methods. The Executive acknowledges that the services provided by the Executive are of a special, unique, and extraordinary nature. The Executive further acknowledges that his work and experience with the Company will enhance his value to a Competitive Business, and that the nature of the Confidential Information to which the Executive has immediate access and will continue to have access during the course of his employment makes it difficult, if not impossible, for him to engage in any Competitive Business without disclosing or utilizing the Confidential Information. The Executive further acknowledges that his work and experience with the Company places him in a position of trust with the Company.
