Specified Facility definition

Specified Facility means each of the following Facilities, or any part thereof and/or any other assets set forth below: (a) the Facilities held on the Issue Date by Vienna Power LLC, Meriden Gas Turbine LLC, Norwalk Power LLC, Connecticut Jet Power LLC (excluding the assets located at the Cos Cob site), Devon Power LLC, Montville Power LLC (including the Capital Stock of the entities owning such Facilities provided that such entities do not hold material assets other than the Facilities held on the Issue Date); (b) the following Facilities, or any part thereof: P.H. Robinson, H.O. Clarke, Webster, Unit 3 at Cedar Bayou, Unit 2 at T.H. Wharton and Greens Bayou; (c) the Capital Stock of the following Subsidiaries of the Company if such Subsidiary holds no assets other than the Capital Stock of a Foreign Subsidiary of the Company: NRG Latin America, Inc., NRG International LLC, NRG Insurance Ltd. (Cayman Islands), NRG Asia Pacific, Ltd., NRG International II Inc. and NRG International III Inc.; and (d) the Equity Interests issued by, and any assets (including any Facilities), of Long Beach Generation LLC and Middletown Power LLC.

Specified Facility means each of the following Facilities, or any part thereof and/or any other assets set forth below: (a) the Facilities held on the Closing Date by Vienna Power LLC, Meriden Gas Turbine LLC, Norwalk Power LLC, Connecticut Jet Power LLC (excluding the assets located at the Cos Cob site), Devon Power LLC, Montville Power LLC (including the Capital Stock of the entities owning such Facilities provided that such entities do not hold material assets other than the Facilities held on the Closing Date); (b) the following Facilities, or any part thereof: P.H.

Specified Facility means a facility identified in Column 1 of Schedule 1;

Examples of Specified Facility in a sentence

• VF shall be entitled to exercise the VF Option at any time during the ninety (90)-day period immediately following the date on which the term of the Specified Facility Lease expires in accordance with its terms (the “VF Option Period”) upon written notice to Kontoor Brands of its desire to exercise the VF Option (such notice, the “Exercise Notice” and the date on which such Exercise Notice is sent, the “Exercise Date”).

• The Establisher of a Type 1 Specified Facility shall report the matters set forth in Article 159, paragraph (1), item (ii) and item (iii) pursuant to Article 336, paragraph (2) of the Act to the competent minister by the 10th day of the month following the month pertaining to said report.

• In this case, an Establisher of a Type 1 Specified Facility shall take the necessary measures for preventing the loss of and damage to said record.

• The provisions of Articles 334 to 338 inclusive, Article 340 and Article 341 shall apply mutatis mutandis to an Establisher of a Type 2 Specified Facility.

• In the case where Type 2 Specified Facility Trading Participants engage commercially in the Buying and Selling, etc.

More Definitions of Specified Facility

Specified Facility means each of the following Facilities: (a) the Facilities held on the Closing Date by Vienna Power LLC, Meriden Gas Turbine LLC, Norwalk Power LLC, Connecticut Jet Power LLC (excluding the assets located at the Cos Cob site), Devon Power LLC, Montville Power LLC (including the Capital Stock of the entities owning such Facilities provided that such entities do not hold material assets other than the Facilities held on the Closing Date); (b) the following Facilities: P.H.

Specified Facility means, that certain Amended and Restated Credit and Guaranty Agreement dated as of March 29, 2017, among, inter alios, the Borrower, as borrower, the Parent, as guarantor, the Subsidiaries of the Parent from time to time party thereto as guarantors, the lenders from time to time party thereto, and JPMorgan Chase bank, N.A., as administrative agent, including any modifications, replacements, renewals, refinancings or extensions thereof.

Specified Facility means those facilities which discharge polluted water or wastewater meeting either of the following conditions:

Specified Facility has the meaning specified on Schedule II to the Intercreditor Agreement.

Specified Facility shall have the meaning assigned to such term in Section 6.01(kk).
