Specified Exchange Rate definition

Specified Exchange Rate means, on any day, in respect of any amount denominated in Euros, the rate at which Euros may be exchanged into Dollars, in each case as set forth at 10:00 A.M., Eastern time, on such date (for spot delivery) on the applicable Bloomberg Key Cross Currency Rates Page FXC (or any successor thereto). In the event that such rate does not appear on such page, the Specified Exchange Rate shall be determined by reference to such other nationally recognized, publicly available service for displaying exchange rates selected by the Required Holders for such purposes or, at the discretion of the Required Holders, the Specified Exchange Rate shall instead be the arithmetic average of the spot rates of exchange operations in respect of such date for the purchase of Dollars for delivery two Business Days (or such other period as is customary in the relevant market) later; provided that if at the time of any such determination, for any reason, no such spot rate is being quoted, the Required Holders may use any other reasonable method they deem appropriate to determine such rate, and such determination shall be presumed correct absent manifest error.
Specified Exchange Rate means, for the exchange of any applicable currency into US$, the average of the “Bid” and “Ask” Tokyo Fix rates published by WM/Reuters on the date on which the Pre-Closing Statement is provided to Buyer pursuant to S ection 2.04(a); provided, that if the Tokyo Fix does not include rates for any applicable currency, then the average of the “Bid” and “Ask” rates published by WM/Reuters at 4:00 p.m. (London Time) on the Business
Specified Exchange Rate means 1.3578 U.S. Dollar per 1 British Pound Sterling.
