Specified Costs definition
Specified Costs means Specified Taxes, Specified Marketing Costs, and Specified Transportation Costs.
Specified Costs means amount equal to (a) 100% of the labor and related costs and expenses incurred directly in connection with any Royalty Products plus, (b) the Allocated Percentage of the labor and related costs and expenses incurred in connection with both Royalty Products and Products if there are direct labor and related costs and expenses during the applicable time period; provided, that, the foregoing costs and expenses are with respect to research, development, regulation, compliance and commercialization of Royalty Products; provided, further, that, the foregoing commercialization costs and expenses shall only be considered Specified Costs if they apply to the commercialization of Royalty Products for new jurisdictions or new indications until each such Royalty Product is approved in such new jurisdiction or for such new indication, on a case by case basis.
Specified Costs means direct incremental costs, in accordance with GAAP, incurred in the production of Revenue that Seller has deducted from its computation of gross profit prior to the Closing. Such costs shall include all payroll and related costs, including but not limited to taxes and workers compensation, of the employees of the Business Unit that are performing services for customers of the Business Unit. For purposes of clarity, (x) costs shall only be accounted once, so any duplicative costs shall be ignored, and (y) Specified Costs shall exclude (i) any pre-employment costs such as background screening, physical examinations for professionals or other credentialing costs, and (ii) any costs pertaining to professional liability or health insurance for such employees. Any direct incremental costs incurred in the delivery of a new service not offered in the 12 months prior to closing will be determined in accordance with GAAP. For the avoidance of doubt, changes in methodology for estimates during the Measurement Period to ensure accuracy, completeness and timing of recognition of costs are permitted to the extent such are required to conform with GAAP.
Examples of Specified Costs in a sentence
Small Project - A Service Work Order or a Service Work Order Group in which the total of the CTC Specified Cost(s) for all Work Task(s) is less than $35,000.00 when first authorized by Owner.
Owner shall have the right to simultaneously issue authorizations for several SWOs. When authorizations for several SWOs are issued at the same time, the total of the CTC Specified Costs of all such SWOs so issued will be used to determine the Adjustment Factor that shall apply to all SWOs in the group.

Specified Costs means the aggregate of the following costs and charges in respect of the A Division:
