Examples of Specific Mandate in a sentence
Under the Creditors’ Scheme and subject to the terms thereof, inter alia, the Creditors’ Scheme will be funded by (i) proceeds from the Subscription in the amount of HK$45,000,000, (ii) 377,879,793 Scheme Shares to be allotted and issued by the Company under the Specific Mandate, which the Scheme Creditors may elect to receive as Shares or proceeds of the sale therefrom, and (iii) the proceeds from the proposed disposal of Scheme Assets.
Such Specific Mandate is effective until the end of the Company's annual general meeting in 2024 or if earlier, the close of business on 2 August 2024, and is in addition to any general mandate to allot Ordinary Shares granted by the shareholders at the 2023 annual general meeting of the Company.
THE EGM The EGM will be held for the purpose of considering and, if thought fit, approving the Subscription, the Subscription Agreement, the allotment and issue of the Subscription Shares pursuant to the Specific Mandate and the transactions contemplated thereunder.
All Subscription Shares will be allotted and issued under the Specific Mandate which is also subject to the Shareholders’ approval at the EGM.
The Specific Mandate is also independent of any use of the ECAT1 Securities specific mandates granted at the Company's previous annual general meetings.
