Special Option definition

Special Option means an option or other security granted by the Company which is convertible or exercisable into or exchangeable for Common Shares for nominal or indeterminate consideration, and includes an over-allotment option or similar option granted to one or more underwriters in connection with a public offering of securities of the Company, but excludes (a) an Incentive Security, (b) a Right, and (c) the Pre-Emptive Right.

Examples of Special Option in a sentence

  • The option price for the Special Option Grant shall be equal at least to the fair market value of the Company’s Common Stock as of the grant date.

  • The Special Option Grant will be subject to all of the terms and conditions of the Option Plan and the Stock Option Agreement that will be issued if and when the grant becomes effective.

More Definitions of Special Option

Special Option means a Series G Special Option to subscribe for Units in accordance with the Special Option Terms.

Special Option shall have the meaning ascribed in the Deed of Option.
Special Option. On the effective date of this Agreement, CyberGuard agrees to issue to Marketlink an option to purchase, in the aggregate, 100,000 shares of CyberGuard Common Stock at the price per share equal to the closing price of CyberGuard Common Stock as of the effective date of this Agreement, which option shall vest only if: (1) CyberGuard terminates this Agreement for cause due to Marketlink's failure to achieve the minimum revenue commitments for the first quarter or for the second quarter of this Agreement as set forth in section 14 of Exhibit D of this Agreement, and (2) CyberGuard receives Marketlink's complete Reseller database for CyberGuard's use at CyberGuard's sole discretion.
Special Option means an option to purchase shares of Stock granted automatically under the Plan pursuant to Section 8 to a Non-Employee Director.
