Special Director definition

Special Director means a person (who need not necessarily be resident in The Bahamas) of good reputation who also possesses at least five years’ experience in a discipline relevant to the administration of trusts, which, in this context shall include one or more of law, finance, commerce, investment management or accountancy;
Special Director means a director elected to the Board of Directors of the Company (the “Board”) by the holders of the Company Preferred Securities pursuant to Section 10.02(i) of the LLC Agreement upon the occurrence of a Company Enforcement Event.
Special Director means, with respect to the Company, a director (A) who has significant industry experience or expertise and (B) who is not, (1) a current employee of Dynegy Inc. or any of its Affiliates, (2) a person who has a material relationship with Dynegy Inc. or (3) a member of the immediate family of any person described in clause (1) or (2) above; provided that the beneficial ownership of a de minimis quantity of common stock of Dynegy Inc. shall not preclude such person from being an Special Director.

  • Title to any or all of the Partnership assets may be held in the name of the Partnership, the General Partner, one or more of its Affiliates, or with Special Director Approval, one or more nominees, as the General Partner may determine.
