SPAC Transactions definition
SPAC Transactions means the series of transactions effectuated pursuant to the Merger Agreement.
SPAC Transactions means any transaction or series of transactions, including without limitation, such transactions contemplated by the Business Combination Agreement, by and among TPG Pace Solutions Corp., Holdings, Parent, Turnkey Vacations, Inc. and the other parties thereto, as amended from time to time, that results in the direct or indirect acquisition of Holdings (or any parent or subsidiary thereof) by, or a merger or other combination with or investment from, a publicly traded special purpose acquisition company or similar third party (in each case, including any parent or subsidiary thereof), irrespective of the voting power of the resulting entity held by the shareholders of Holdings preceding such transaction or series of transactions.
SPAC Transactions means the series of transactions effectuated pursuant to the Agreement and Plan of Merger, by and among the Company, the Manager, and Spring Valley Merger Sub, LLC, dated December 13, 2021.
