SPA Closing means the closing of the Transactions as provided for in Section 2.5 of the SPA.

• Purchaser shall take all necessary actions and endeavour its best efforts to ensure that the SPA Closing is approved as soon as possible, even if the SPA Closing and the Amazônia Closing do not take place simultaneously.
