Each Holder consents to and authorizes the publication and disclosure by the Company and Parent of such ▇▇▇▇▇▇’s identity and holding of Shares, and the terms of this Agreement (including, for avoidance of doubt, the disclosure of this Agreement), in any press release, the Joint Proxy and Solicitation Statement, and any other disclosure document required in connection with the Merger Agreement and the Transactions.
Notwithstanding the foregoing sentence, the provisions of this Supplemental Indenture shall become operative only upon the closing of the Consent Solicitation and the related Exchange Offer (as defined in the Offering Memorandum and Consent Solicitation Statement), with the result that the amendments to the Indenture effected by this Supplemental Indenture shall be deemed to be revoked retroactive to the date hereof if such closing shall not occur.
Each of the Parties will bear its own costs and expenses (including legal fees and expenses) incurred in connection with this Agreement and the transactions contemplated hereby, except to the extent set forth in the Prospectus/Consent Solicitation Statement.
The closing of the transactions contemplated by this Agreement (the "Closing") shall take place at the offices of Pros▇▇▇▇▇ ▇▇▇▇ ▇▇▇, ▇▇▇▇ ▇▇▇▇▇▇▇▇, ▇▇▇ ▇▇▇▇, ▇▇▇ ▇▇▇▇ ▇▇▇ultaneously with the Closing of the Consolidation pursuant to the Prospectus/Consent Solicitation Statement (the "Closing Date"), but in no event later than December 31, 2001, unless extended by the mutual agreement of the Parties.
The Merging Entity acknowledges that the amounts and terms may be different from that set forth in the draft Prospectus/Consent Solicitation Statement.
