Software Rights definition

Software Rights means all rights in software and firmware, including data files, source code, object code, application programming interfaces, architecture, files, records, schematics, computerized databases and other related specifications and documentation.
Software Rights means the Parties’ rights in the jointly owned intellectual property in the Software.
Software Rights. All rights and interests in various software programs, any equipment or other property necessary or appropriate to service the Accounts whether such rights and interests are now owned, held, or after acquired by Mid-State as contemplated by the License and Assignment of Rights in Servicing Property attached as Exhibit E to the Servicing Agreement.

  • The Performer grants or shall obtain for the Government SBIR Data Rights, specifically including SBIR Technical Data Rights to SBIR Technical Data and SBIR Computer Software Rights to SBIR Computer Software, developed or generated under this Agreement during the SBIR Protection Period.

  • Limited Rights or SDA Software Rights may be asserted for technical data related to items or process developed exclusively at private expense or computer software developed exclusively at private expense.

  • In the event of a termination of this contract, it is agreed that disposition of intellectual property developed under this contract shall be in accordance with provisions set forth in the Patent Rights and Data and Software Rights provisions of this contract.

  • Prior to final payment and as a condition thereof, the Subcontractor shall submit all intellectual property rights notices, invention disclosures, notices and reports required by the Patent Rights, Data Rights, and/or Software Rights clauses of this Agreement and the individual Task Orders to the Contractor for delivery to its customer.

  • The following provisions will survive termination or expiration of this Agreement: (a) Articles and Sections 2.3 (Restrictions on Software Rights) 5 (IP & Feedback), 6 (Confidential Information), 7 (Software Audit), 8 (Warranty Disclaimers), and 9 (Limitations of Liability); and (b) any other provision of this Agreement that must survive to fulfill its essential purpose.


More Definitions of Software Rights

Software Rights means the Retail Presentation Layer Rights and the Non-Retail Presentation Software and Other Common Modules.
Software Rights means all of Mount Sinai’s rights in software, software code, and software documentation as described in the five (5) Mount Sinai Tech IDs listed in Exhibit A, and all copyright protection therein. ​
Software Rights is defined in the Sale and Marketing Agreement, provided, however, that the Warrants, and rights under and in respect of the Warrants, are separate from and not part of, the Software Rights.

Further included in this definition of Software Rights are all associated intellectual property rights associated with the foregoing, including but not limited to all copyrights, trademarks, logos, service marks, patents, trade secrets, and other proprietary rights therein (including applications for registration thereof and renewals thereof).
