SOFR Reference Rate definition
SOFR Reference Rate means, in respect of any U.S. Government Securities Business Day, a reference rate equal to the daily secured overnight financing rate (“SOFR”) for such U.S. Government Securities Business Day as provided by the Federal Reserve Bank of New York, as the administrator of such rate (or any successor administrator of such rate) on the website of the Federal Reserve Bank of New York currently at http://www.newyorkfed.org, or any successor website of the Federal Reserve Bank of New York or successor administrator (on or about 8:00 a.m., New York City time, on the U.S. Government Securities Business Day immediately following such U.S. Government Securities Business Day).

Agent and its affiliates or other related entities may engage in transactions that affect the calculation of the Term SOFR Reference Rate, Term SOFR, any alternative, successor or replacement rate (including any Benchmark Replacement) or any relevant adjustments thereto and such transactions may be adverse to a Borrower.
Anything to the contrary contained herein notwithstanding, neither Agent, nor any Lender, nor any of their Participants, is required actually to match fund any Obligation as to which interest accrues at Term SOFR or the Term SOFR Reference Rate.

SOFR Reference Rate means, in respect of any U.S. Government Securities Business Day, a reference rate equal to the daily secured overnight financing rate (“SOFR”) for such U.S. Government Securities Business Day as provided by the NY Fed, as the administrator of such rate (or any successor administrator of such rate) on the website of the NY Fed currently at http://www.newyorkfed.org, or any successor website of the NY Fed or successor administrator (on or about 8:00 a.m., New York City time, on the U.S. Government Securities Business Day immediately following such U.S. Government Securities Business Day).
SOFR Reference Rate means the forward-looking term rate based on SOFR.

SOFR Reference Rate means Compounded Daily SOFR, Weighted Average SOFR, SOFR Compounded Index Rate or, in the case of Exempt Notes only, such other Reference Rate specified in the relevant Final Terms linked to or referencing the Secured Overnight Funding Rate.
SOFR Reference Rate means the forward-looking term rate based on SOFR. “Specification Miner Efficiency” represents the efficiency of a Bitcoin Miner, measured in joules per terahash. “Stronghold Net Revenue” is the Agreement Revenue minus the Monthly Service Fees for each month.
SOFR Reference Rate means the 30-day trailing average SOFR as of any measurement date, as published by the SOFR Administrator in the SOFR Averages and Index.
SOFR Reference Rate means in relation to any US Banking Day during an interest period, the percentage rate per annum which is the US Daily Rate for the US Banking Day prior to that US Banking Day.
